Quick Expense ScannerThis Commission Appendix ("Appendix") forms an integral part of the Enerpize Global Reseller Agreement between Enerpize LLC ("Enerpize") and the approved reseller ("Reseller"). This Appendix defines how commissions are calculated, validated, and paid.
1. Definitions
Eligible Revenue
Revenue generated from first-year subscription fees actually paid to Enerpize, in USD, and retained for a minimum of three (3) consecutive months.
Ineligible Revenue
The following are not commissionable:
- Renewals (year 2 and beyond)
- Upsells, expansions, or additional seats
- One-time fees, setup fees, or training fees
- Refunds, cancellations, or chargebacks within 3 months
- Discounts not approved by Enerpize
- Direct organic sales by Enerpize
- Any sale not properly attributed under the Agreement
2. Commission Model Overview
Commissions follow a marginal commission model, meaning:
- Each revenue tier earns its own percentage
- Only first-year subscription revenue is considered
- Commissions are calculated per customer country, not reseller location
There are no upfront payments, deposits, advances, or recovery mechanisms of any kind.
3. Regional Commission Structures
3.1. MEA — Middle East & Africa

Exclusivity in Europe is evaluated per country and may consider market maturity.
3.3. APAC — Asia-Pacific

The "Exclusivity Eligibility" thresholds above correspond to the regional thresholds in the Exclusivity Appendix §3.1.
4. Commission Calculation Example
Example (MEA): Reseller generates USD 70,000 in Eligible Revenue.
- First 20,000 → 20% = 4,000
- Next 20,000 → 25% = 5,000
- Next 20,000 → 30% = 6,000
- Remaining 10,000 → 35% = 3,500
Total Commission = USD 18,500
5. Payment Schedule
Commissions are calculated and paid quarterly, only after the customer has remained subscribed for at least three (3) months.

Late or failed customer payments delay eligibility.
6. Deal Registration & Attribution
This section is the authoritative definition of deal registration and attribution referenced in Reseller Agreement §6 and Branding Guidelines Appendix §7.
Attribution Methods
A sale is attributed to the Reseller through either:
- Traffic originating from the Reseller's Enerpize-provided co-branded landing page; or
- An approved deal registration.
Protection Window
An approved deal registration protects the registered opportunity for sixty (60) days from the date of approval. If the customer subscribes within that window, the sale is attributed to the registering Reseller.
Registration Requirements
To register a deal, the Reseller must submit accurate customer and opportunity details through the Enerpize-designated partner channel. Enerpize may reject incomplete, duplicate, or previously known opportunities.
Conflicts
Where attribution is contested, Enerpize determines final attribution in good faith, prioritizing the earliest valid registration or verified landing-page attribution.
7. Deductions & Adjustments
Refunds & Cancellations
If a customer cancels or refunds within 3 months, the sale is not eligible for commission.
Approved Discounts
Where Enerpize approves a discount, the discount amount is deducted from the Reseller's calculated commission. The discount does not reduce the Eligible Revenue used to determine the applicable commission tier.
Chargebacks & Fraud
Chargebacks or fraudulent activity result in commission reversal and possible termination.
Non-Compliant Sales
Sales violating pricing, branding, attribution, or support rules are voided.
8. Documentation Required for Payment
For a commission to be paid:
- Deal registration must be valid (if applicable)
- Attribution must occur via the reseller landing page, or via approved deal registration within the 60-day window (see §6)
- Customer payment must clear and remain active for 3+ months
- No SLA or compliance violations affecting eligibility
Enerpize may withhold payment until discrepancies are resolved.
9. Audit Rights
Enerpize reserves the right to audit deal registrations, attribution data, customer accounts, commission calculations, and reseller compliance. Misreporting, manipulation, or abuse results in immediate forfeiture of commissions, termination for cause, and potential legal action.
10. Amendments
Enerpize may modify commission structures or rules with sixty (60) days' written notice. This Appendix supersedes all prior commission discussions, representations, or documents.
11. Final Note
Commissions are earned solely on performance, as defined in this Appendix. There are no guarantees, advances, deposits, or recovery schemes.
